User Agreement Terms

This User Agreement (“Agreement”) is entered into by and between our company(“Company”) and you(“Customer”), as of the Effective Date September 1, 2024.

1. Definitions

• “Service” refers to the software-as-a-service provided by the Company.
• “User Account” means the account created by the Customer to access the Service.
• “Subscription Fees” refers to the fees paid by the Customer for the use of the Service.
• “Effective Date” is the date on which this Agreement is accepted.

2. Service Provision

• The Company agrees to provide the Service to the Customer on a subscription basis, in accordance with the terms outlined in this Agreement.
• The Customer is granted a non-exclusive, non-transferable license to access and use the Service during the subscription period.

3. Subscription Fees and Payment

• The Customer agrees to pay the Subscription Fees as outlined in the subscription plan chosen at the time of account creation or subscription.
• All fees are due in advance and are non-refundable except as provided in the Refund Policy below.

4. Refund Policy

• Eligibility for Refund:

  • Refunds are only provided under the following conditions:
    • If the Customer cancels the subscription within 14 days of the initial subscription date.
    • If the Service is unavailable due to a fault of the Company for more than 24 consecutive hours, resulting in a material disruption of the Customer’s use of the Service.
    • If the Customer has been erroneously charged due to a billing error.

• Refund Process:

  • To request a refund, the Customer must contact [email protected] within 5 days of the issue.
  • Refunds will be processed within 5 business days after the Company approves the request.
  • Refunds will be issued using the same payment method that was used to purchase the Service.

5. Customer Responsibilities

• The Customer agrees to use the Service in compliance with all applicable laws and regulations.
• The Customer is responsible for maintaining the confidentiality of their User Account login credentials.
• The Customer is responsible for all activities that occur under their User Account.

6. Term and Termination

• This Agreement will remain in effect until terminated by either party in accordance with this section.
• The Customer may terminate the subscription at any time by providing notice to the Company. The termination will take effect at the end of the current billing cycle.
• The Company may terminate this Agreement and the Customer’s access to the Service if the Customer violates any term of this Agreement.
• Upon termination, the Customer will no longer have access to the Service, and all data associated with the account may be deleted.

7. Intellectual Property

• All intellectual property rights in the Service are owned by the Company.
• The Customer is granted a limited, revocable license to use the Service as provided in this Agreement.

8. Confidentiality

• The Customer agrees not to disclose any confidential information related to the Service, including proprietary software, data, and other intellectual property.

9. Limitation of Liability

• The Company will not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Service.
• The total liability of the Company for any claims arising out of this Agreement will not exceed the amount of Subscription Fees paid by the Customer in the 12 months preceding the event giving rise to the claim.

10. Governing Law

• This Agreement will be governed by and construed in accordance with the laws of China, without regard to its conflict of law principles.

11. Miscellaneous

• This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• The Company may modify the terms of this Agreement at any time, with notice provided to the Customer. Continued use of the Service constitutes acceptance of the modified terms.
